PLEASE READ THE FOLLOWING TERMS OF USE AND PRIVACY POLICY CAREFULLY BEFORE ACCESSING OR USING landing page link (THE “POWER TOOLS WEBSITE”) AND ITS CONTENT MADE AVAILABLE BY ZI CLOUD (AS DEFINED BELOW). BY ACCESSING OR USING THE POWER TOOLS WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, INCLUDING THE PRIVACY POLICY AVAILABLE AT privacy policy link (“PRIVACY POLICY”). IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE POWER TOOLS WEBSITE OR APP.
1. ACCEPTANCE OF TERMS
Zi Cloud (the “Company”) is the owner and operator of the Power Tools Website or App. Any person who uses the Power Tools Website or App shall be referred to as a “User” or “you.” By using the Power Tools Website or App, Users agree to the terms and conditions of these Terms of Use, which include the Privacy Policy (collectively, the “Agreement”), as well as all other policies and guidelines incorporated from time to time by reference to this Agreement. This Agreement constitutes a binding agreement between any User and the Company.
2. GENERAL CONDITIONS
The following conditions apply to all Users:
2.1. The Power Tools Website and App will be used only for lawful purposes and in a lawful manner. All Users agree to comply with all applicable laws and regulations in all applicable jurisdictions and shall not violate any law, any third party’s rights, or this Agreement.
2.2. All Users must be natural persons of at least eighteen (18) years of age or older and must be able to understand and enter legally binding contracts. No automated bots, crawlers, or other applications designed to collect information can use the Power Tools Website and App.
2.3. Users shall immediately report to the Company at contact@zicloud.co upon discovering any security breach or improper use of the Power Tools Website or App.
2.4. The Company reserves the right to monitor User communications and may disclose any content and information about a User, as described in the Privacy Policy.
2.5. Users’ access to and use of the Power Tools Website and App are expressly conditioned upon compliance with all the terms of this Agreement and any applicable laws. Any violation of this Agreement shall immediately revoke User’s right to use the Power Tools Website and App. The Company, at its sole discretion, may limit or refuse any User’s access to the Website and App. The Company also reserves the right to modify or discontinue the Website or App (or any part or feature) at any time and without notice. Users agree that the Company shall not be liable to Users or any third parties for any damages caused by or in connection with any limitation, modification, suspension, or discontinuance of the Website or App.
3. FEATURE AUTOMATION
In the initial release of the Power Tools app, the following automation features have been confirmed as part of the product:
- Auto-Assign Tasks: Automatically assign tasks to the right person, ensuring clarity and accountability with zero manual effort.
- Subitem Automation: Seamlessly manage subitems for better organization.
- Timeline Automations: Effortlessly manage dates and timelines to keep projects on track and your team aligned with goals.
These features aim to streamline frequently used automations under one app, eliminating the need for multiple app installations and reducing costs associated with paid apps.
4. INFORMATION SECURITY
The Company uses commercially reasonable security safeguards to protect the Power Tools Website and App, its databases and servers, from misuse, unauthorized access, and data breaches (“Security Breach”). However, the Company does not guarantee that such breaches will not occur, nor does it assume any responsibility for addressing Security Breaches within a specific timeframe.
5. INTELLECTUAL PROPERTY RIGHTS
The Company owns or has licensed all elements of the Power Tools Website and App, including visual interfaces, interactive features, graphics, design, software, and code (collectively, the “Zi Cloud Content”). All intellectual property rights associated with the Zi Cloud Content, including patents, copyrights, trademarks, and service marks, are owned by the Company. Users may not modify, reproduce, distribute, or exploit any Zi Cloud Content without prior written consent from the Company.
6. LIMITATION OF LIABILITY
The Power Tools Website and App, along with any related content or information, are provided on an “as-is” basis. The Company disclaims all warranties, express or implied, including those related to merchantability, fitness for a particular purpose, and noninfringement. The Company does not guarantee that the Power Tools Website or App will be error-free, uninterrupted, or meet specific user requirements. In no event shall the Company be liable for any indirect, special, or incidental damages arising from the use of or inability to use the Website or App.
7. INDEMNIFICATION
Users agree to indemnify and hold the Company, officers, and employees harmless from any claims, liabilities, or expenses arising from the use of the Power Tools Website and App, including any violations of these Terms of Use.
8. CHANGES TO THIS AGREEMENT
The Company reserves the right to modify these Terms of Use and the Privacy Policy at any time, and Users agree to be bound by any such modifications. Notices of material changes will be posted on the Power Tools Website.
9. MISCELLANEOUS
9.1. Notices: Communications regarding these Terms may be sent electronically via email or posted on the Power Tools Website.
9.2. Governing Law: This Agreement shall be governed by the laws of the State of India, and disputes will be settled in the courts of New Delhi, India.
